The successful candidate will play a key role in ensuring that all legal aspects of our operations are properly managed and that the company\u2019s interests are protected. The Legal Officer will be responsible for a wide range of legal duties, including reviewing contracts, advising management, and ensuring compliance with the legal framework governing the company&#8217;s operations. The role requires an individual with strong analytical skills and attention to detail, as well as the ability to handle complex legal matters.<\/p>\n<p><strong>Key Responsibilities:<\/strong><\/p>\n<ul>\n<li>Review all documentation with legal implications before signing and implementation.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Negotiate, draft, and review local and international contracts, Memoranda of Understanding (MOUs), Power Purchase Agreements, and other legal documents on behalf of NAWEC.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Serve on the Disciplinary Committee, ensuring the legality of proceedings, drafting disciplinary policies, and preparing hearing transcripts.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Analyze the legal implications of the company&#8217;s activities, ensuring compliance with the legal framework.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Draft conveyancing documents, including mortgages, deeds of release, further charges, and deeds of assignment.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Assist the Commercial Department in debt recovery by drafting and managing debt payment agreements, negotiating settlements, and preparing lists of debtors for legal action.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Participate in project evaluation and investment meetings to safeguard the legal interests of the company.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Provide legal advisory services and interpretation to management.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Support the company in controlling customer complaints and mitigating litigation risks.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Provide Board Secretarial Services for the Board\u2019s Human Resources and Remunerations Committee.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Liaise with external lawyers handling court cases on behalf of the company and attend court hearings as necessary.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Monitor and update management on legal proceedings involving NAWEC.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Perform additional legal duties as assigned, including representing the company in litigation when required.<\/li>\n<\/ul>\n<p><strong>Key Skills &amp; Competencies<\/strong>:<\/p>\n<ul>\n<li>Strong legal knowledge and the ability to interpret and apply legal principles.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Excellent contract drafting and negotiation skills.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Ability to work under pressure and manage multiple tasks simultaneously.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Strong communication and interpersonal skills.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Analytical mindset with attention to detail.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li>Experience in providing legal advisory services to corporate management teams.<\/li>\n<\/ul>\n<p><strong>Please click on the link for the Terms of Reference (ToR)<\/strong><\/p>\n<p><a href=\"https:\/\/nawec.gm\/wp-content\/uploads\/2024\/10\/Legal-Officer-ToR.pdf\">Legal Officer ToR<\/a><\/p>\n<p><strong>Application Process<\/strong>: Interested candidates should submit their CV, cover letter, and relevant qualifications to <strong><u>recruitment@nawec.gm<\/u><\/strong> by <strong>16<sup>th<\/sup> October 2024<\/strong>. <strong>Women are encouraged to apply<\/strong>.
